Biography
Mr. Garcia is a corporate and transactional attorney with over 21 years of experience.
Before joining FisherBroyles, he founded law+dgtal, the first cloud based and sustainable law firm in Mexico. He has over 15 years of experience working at international law firms, such as Curtis Mallet Prevost Colt & Mosle, Baker & Mckenzie and DLA Piper.
Mr. Garcia regularly advises foreign and domestic clients in connection with merger and acquisition projects for various industries. He has significant experience representing private equity funds in the acquisition and disposition of companies. Mr. Garcia has participated in global projects involving multiple practices for the corporate reorganization of global companies. He also advises in the establishment, development, and operation of companies in various fields of economic activity in Mexico, mainly for international clients (90% of client base). He assists clients in the creation, review and implementation of effective compliance programs, due diligence issues and general anticorruption advice; Mr. Garcia also conducts compliance investigations. He provides general counsel on corporate, commercial and regulatory matters for foreign and domestic clients. He advises global and domestic business groups on corporate governance matters. Mr. Garcia assists international and national clients in drafting and negotiating all kinds of commercial agreements with international implications, including purchase and sale agreements, distribution agreements, and supply agreements.

- Legal counsel to the Mexican subsidiaries of a US major transport and logistics business group on corporate governance, business and contractual matters facing its business growth in Mexico.
- Legal counsel to a major Mexican Real Estate Business Group in the issuance of corporate debt for $250 million Mexican pesos.
- Legal counsel to an American multinational conglomerate in the divestiture of one of its business lines in Mexico.

- Legal counsel to an IA US-based company, on the legal and business structure for its Latin America growth, especially in connection with Mexico.
- Legal counsel to a British multinational company in connection with the acquisition of a Mexican holding and its subsidiaries.
- Represented a Japanese multinational conglomerate corporation (entertainment division) in the corporate restructuring of its Mexican subsidiaries.
- Represented a world class company engaged in international business consultancy in the corporate restructuring of its Mexican subsidiaries.
- Represented a multinational corporation engaged in the operation of business centres to acquire the assets of a Mexican competitor.
- Represented a German multinational software corporation in merging the Mexican subsidiaries of a US enterprise software and services company.
- Represented a German multinational software corporation in its corporate restructuring in Mexico after merging the Mexican subsidiaries of a US enterprise software and services company.
- Represented a major Spanish business group (technology division) in a joint venture with a Mexican IT Services Company to provide IT services to the Mexican government.
- Represented a transnational pharmaceutical company based in Mumbai in acquiring the shares and assets of a Mexican pharmaceutical company.
- Represented a French energy service company in the sale of its Mexican subsidiaries and business to a local business group (share and asset deal).
- Represented the leading Mexican direct sales company for household products in (i) a management buyout, and (ii) in obtaining investment from a private equity fund.
- Represented the world’s largest pump manufacturer in the corporate restructuring of its Mexican subsidiaries.
- Represented a Mexican manufacturer of motor vehicle parts and accessories in the sale of its assets to an international manufacturer.
- Represented an American Fortune 500 company (an automotive components original equipment manufacturer), in its corporate restructuring and spin-off of its sales division in Mexico.
- Represented an American Fortune 500 company (an automotive components original equipment manufacturer), in the corporate restructuring of its Mexican subsidiaries.
- Participated in merger and acquisition projects with clients of various industries.
- Participated in the preparation and revision of commercial agreements for infrastructure industry clients.

- Participated in public and private biddings for obtaining infrastructure concessions and permits.
