Oil & Gas:
In the Oil & Gas sector, our attorneys in our offices in the USA in particular in Houston, Dallas, Denver, California and Ohio, in Mexico, and in London, UK, have significant experience in upstream, midstream, and downstream matters. A number of our partners and senior counsel have many years’ experience as in-house General Counsel for Energy Industry leaders. Our partners and senior counsel have in-depth experience with matters ranging from major cross-border or international production sharing contracts, and other kinds of hydrocarbons licensing, lease acquisition and unit formation, seismic exploration, refinery and terminal project finance, land use, surface easements and rights-of-way, drilling of vertical and horizontal wells, hydraulic fracturing, water disposal, oil & gas gathering and processing, allocation of production valuation of royalty, measurement, and the transmission and marketing of oil & gas and refined products, including tariff proceedings before state and federal agencies, pipeline proration, and quality banks. Our attorneys have acted as lead counsel in a number of significant cross-border oil and gas industry project financings, as well as acquisitions and divestments, in jurisdictions as diverse as Indonesia, Thailand, Qatar and Oman.
Our attorneys have litigated disputes and acted in arbitrations and a range of forms of ADR, arising both in the USA as well as globally (in particular in the Middle East and the Asia Pacific region) among: (i) project owners and contractors, (ii) landowners and mineral lessees, (iii) buyers and sellers of mineral production and of refined products, (iv) operators and non-operators of oil & gas wells, pipelines and processing facilities, (v) specifically in the USA, federal, state and municipal regulatory agencies and their regulated entities, (vi) disputes among shareholders including allegations of securities fraud, (vii) gas processors and gatherers and their respective counter parties, and (viii) (in the USA) taxing authorities and taxpayers. Our attorneys have acted as lead counsel in a number of large-value international arbitrations under the LCIA, ICC and UNCITRAL rules and model forms, and have in-depth familiarity with a range of types of enforcement provision, including the 1958 New York Convention.
Power Generation:
In the Power Generation sector, our attorneys have acted as lead counsel in numerous upstream transactions in the USA, as well as in a number of jurisdictions in the Middle East, and the Asia Pacific region, including a number of significant mandates in Indonesia, negotiating and drafting key project documentation, ranging from Power Purchase Agreements, Independent Water & Power Project contracts, and contracts for differences, as well as key supporting project agreements including construction contracts and ancillary documentation, operating and maintenance agreements, fuel supply contracts, and sales and offtake contracts.
In addition, we have in-depth expertise in project finance, lease finance, commodities-based finance, export-credit agency (ECA) finance including JBIC and NEXI, and multilateral development bank finance, acting for sponsor-developers, operating companies, and project lenders.
In the power project arena, our attorneys have represented major power project developers and sponsors, project lenders, construction/EPC/EPCM and E&P contractors, O&M contractors, and ECAs.
We have in-depth experience negotiating and structuring diesel fired, CCGT, and coal fired thermal power projects, both in as well as outside the USA. Our attorneys have also acted as lead sponsor’s counsel for solar powered projects in a number of Middle Eastern jurisdictions.
Mining:
Our attorneys in the USA and our London office have broad experience working on mining industry transactions, covering a range of types of deal, including:
- significant work in connection with the acquisition of two major rare earths mines, in the USA and Greenland, respectively, acting for the buyer;
- advising on a US$ Multi-Billion proposed Joint Venture in the United Arab Emirates to construct an Aluminum smelter, including the negotiation and drafting of all the critical and social infrastructure-related agreements;
- advising on a CA$352 Million secured credit facility for a Nickel mining project; and
- a number of mining industry Contracts of Work under the mining sector regulatory regime in Indonesia.
